Introduction; Agreement To This Terms Of Use
Welcome to SOULMET! Please carefully review Soulmet's ("Soulmet," "We," "Our") Terms of Use. Soulmet offers a
service that enables Soulmet Account holders to create unique personal profiles and connect with other members
based on their location. These Terms govern your access to and use of Soulmet's social networking services
available through our mobile apps (collectively referred to as "Apps"). For clarity, we refer to the Sites, our
services, and the Apps collectively as the "Services."

1. Age Limitation and Eligibility
You affirm that you are at least 18 years old and eligible to agree to these Terms. Additionally, you confirm
that no authorized authority, court order, or law prevents you from entering into this agreement.
By using the Services, you confirm that:
- You can enter into a binding contract with Soulmet;
- You will follow these Terms and all relevant local, state, national, and international laws.
- If you are using the Services for a business or another group, you confirm that you have the authority to
agree to these Terms and grant all licenses mentioned here on behalf of that business or group.
1 Description of the App and the Services
Our mission is to empower everyone with the opportunity and ability to connect with others worldwide in
real-time and engage in meaningful dialogues. To support this, we have crafted a range of products (Apps and
services) designed to facilitate effective communication and connection with friends.
Leveraging our robust data analytics capabilities, we assist you in precisely matching and connecting with
friends on our platform, fostering personalized, relevant, and meaningful social connections and dialogues.
Furthermore, we continuously innovate and develop technologies, and design our systems to ensure a consistent and
seamless user experience, enabling you to connect and share through real-time video, chat, text messaging, as well
as by sharing photos, interests, music, videos, and engaging in conversations effortlessly.
2.1 Use of Your Device
- You promise that you either own the device you're downloading the App onto, or you have the legal right to
use it. You also agree to make sure that anyone else you let use the product will follow these rules
2.2 New Versions of the App
- We reserve the right to improve our products in other ways, such as improving performance, enhancing
functionality, responding to changes in operating systems or addressing security issues.
- If you want to download, install, or use any additional features, functions, or any modifications,
updates, or new versions of the App, you may need to agree to the terms of the updated version.
- You acknowledge that we may automatically release any additional features, functions, modifications,
updates, or upgraded versions of the App, and therefore may modify, update, or upgrade the version of the App
you are using or have installed on your device. You hereby agree that your device may automatically request
and/or receive such modifications, upgrades, or updates.
- We are not obligated to provide you with any additional features or functions, or any modifications,
updates, support, maintenance, or subsequent versions of the App or any services.
2.3 Prevention of Unauthorized Use
- To prevent unauthorized use of the App or Services, we reserve the right to take any lawful measures
deemed necessary, including but not limited to implementing technological barriers, conducting IP tracing, and
directly contacting your wireless (mobile) carrier or device manufacturer to address such unauthorized use. If
any personal data is processed for this purpose, it will be done in accordance with our Privacy Policy.
2 Ownership
The Apps is safeguarded by copyright laws, international treaties, and other intellectual property
regulations. It contains trade secrets and confidential information that belong solely to soulmet. You agree to
keep this information confidential.All rights to the Apps and Services, along with any related documents, updates,
modifications, and improvements, belong exclusively to soulmet and its licensors. The Apps is licensed to you, not
sold. You do not own it. No hidden rights, permissions, or interests in copyrights, patents, trade secrets,
trademarks, inventions, or other intellectual property are granted to you. Soulmet explicitly reserves all rights
to the Apps and Services that are not directly given to you in this agreement.
3 Your Account
You are responsible for everything that happens in your account, so it's vital that you keep it secure. To do
this, choose a strong, unique password and don't use it anywhere else.
When using the Services, you promise to:
- Only have one account for yourself.
- Not create another account if we've already closed your account, unless we say it's okay in
writing.
- Not sell, rent, or lend access to your account without our written permission.
- Keep your password to yourself.
- Avoid logging in or trying to use the Services through apps or programs that we haven't approved.
- Remember, using common sense and following these rules will help keep your account secure.
4 Restrictions and Content
5.1 Prohibited behaviour
- You cannot use the Products for anything illegal or without permission.
- You cannot transmit worms, viruses, or any harmful or malicious code through the Products.
- You must not damage, disable, overload, or weaken the App or any of the Services in any way.
- You must not share or display any content, such as text, sounds, images, videos, or other materials, that
we consider hateful, threatening, pornographic, obscene, abusive, racially offensive, libelous, or defamatory.
Also, avoid content that shows physical violence or encourages criminal behavior or civil liability.
- You are prohibited from attempting to hack, destabilize, or alter our website, the App, or any of the
Services. Do not falsely imply that another website, app, or service is affiliated with our Products.
- Only use the Products through the interface we provide or as we instruct. Do not use any other methods to
access or use them.
- Do not include any phone numbers, addresses, last names, URLs, social media usernames, or email addresses
in your public Member profile.
- You are not allowed to advertise or solicit any Member to buy or sell products or services through the
Service.
5.2 Your Content – be careful with what you share
"Content" refers to various types of materials like videos, audio (such as music or other sounds), images,
photos, text (including dialogues, comments, and scripts), branding elements (like brand names, trademarks,
service marks, or logos), interactive features, software, metrics, and more. These can be provided by you,
Soulmet, or third parties through the Soulmet App or Soulmet Web.
You are responsible for all content you publish or display on the Service and any information you send to
other Members.By posting any content in the public areas of the Apps, you grant us a non-exclusive, fully paid,
worldwide license to use, reproduce, publicly perform, and display that content.
This includes distributing part or all of the mobile application and website in any media format and through
any channels. You confirm that: (i) you own the content you post or have the right to grant this license, and (ii)
your content does not violate anyone's privacy rights, publicity rights, copyright, or other intellectual property
rights. You agree to pay any royalties or fees owed because of the content you post.
The following is a partial list of content that is illegal or prohibited on the mobile application and
website. We reserve the right to investigate and take legal action against anyone who violates these terms,
including removing offending content and terminating their membership.
5 Protection of Minors and Prohibition of Child Exploitation
- Zero Tolerance Policy: We maintain a zero-tolerance policy regarding any form of child sexual abuse or
exploitation. We are committed to ensuring that our platform is a safe environment for all users, especially
minors.
- User Obligations: As a user of Soulmet, you are prohibited from engaging in any conduct that could be
construed as sexually abusive or exploitative of minors. This prohibition extends to all content and
interactions on our platform.
- Reporting Protocol: We have established a clear and accessible reporting protocol for users to flag
content or behavior that may breach this policy. We are dedicated to promptly investigating all reports and
taking swift action to remove any content that violates our standards.
- Account Suspension and Termination: Users who violate this policy will face immediate suspension or
termination of their account. We will also consider additional measures, including but not limited to, reporting
to the appropriate authorities.
- Legal Compliance: It is the responsibility of each user to adhere to all relevant laws and regulations
that protect minors from exploitation, including international and local statutes.
- Surveillance and Enforcement: We actively monitor our platform to identify and prevent any instances of
child exploitation. We employ a combination of technology and human oversight to enforce our policies and
safeguard user safety.
- Awareness and Education: We are dedicated to educating our user community about the risks of child
exploitation and the importance of vigilance in reporting any concerning content or activity.
- Partnership with Law Enforcement: We are committed to working in conjunction with law enforcement and
other relevant organizations to combat child exploitation. This includes providing support in investigations and
taking decisive action against offenders.
- Policy Amendments: We reserve the right to amend this policy to align with evolving legal standards and
our ongoing efforts to protect minors. Users are expected to keep themselves updated with the current
policy.
- User Accountability: Each user is accountable for their actions on our platform and must ensure compliance
with this policy and all relevant legal requirements.
6 Paid Services
Soulmet provides paid services to users, but it's important to understand that we don't directly receive or
process any payments or credit card information. Instead, you have the option to purchase these paid services
through your App Store or Google Play account, which we refer to as a "Third Party Account."
If you choose to purchase any paid services through your Third Party Account, the associated fees will be
charged to your account. Please keep in mind that Soulmet does not have control over the terms and conditions of
your Third Party Account, so it's important to review them carefully before making any purchases.
Once you make a payment to Soulmet for access to and use of our services, that payment is considered final.
This means that all charges are non-refundable, so please make sure you're satisfied with your purchase before
completing the transaction.
7 Limitation of Liability
To the fullest extent allowed by applicable law, the Soulmet Parties will not be liable to you or any third
party for any damages that arise, including:
- (a) special, indirect, incidental, punitive, or consequential damages. This includes lost profits, loss of
data, damage to goodwill, legal fees, costs for hiring experts, costs for substitute services, lost
opportunities, and other expenses related to your reliance on or use of the Service.
- (b) the actions of third parties, which may include behavior by other users or operators of external
sites.
You agree to release, defend, indemnify, and hold harmless Yoome and its affiliates, subsidiaries, directors,
officers, agents, contractors, partners, and employees from any loss, liability, claim, demand, damages, costs,
and expenses, which includes reasonable attorney's fees, arising from:
- Your use or misuse of the Service, whether intentional or unintentional;
- Any violations of these Terms, including failure to adhere to the rules;
- Breaching any promises or assurances you made in relation to the Service;
- Violating the rights of third parties, such as copyrights, property rights, or privacy rights;
- Claims that your submissions or content have caused damage to others;
- Any user content or content that you share on or through the Service.
8 Termination
In any situation, the total liability of the Soulmet Parties will not exceed the amount you paid to Soulmet
for any products or services you purchased through the services during the six months prior to any claim you make.
This limitation applies even if the remedies provided do not achieve their intended purpose.
Some regions have laws that do not allow certain exclusions or limitations of liability, which means that not
all of these limitations may apply to you. In such cases, the liability of the Soulmet Parties will be limited to
the fullest extent permitted by the law applicable to you.
Additionally, you and Soulmet agree that if you want to take legal action related to the Services, you must
do so within one year from when the issue occurred. If you fail to do this, you will permanently lose the right to
pursue that claim.
9 General
Soulmet reserves the right to update its Terms of Service periodically. Whenever we make an update, we will
change the "Last Modified" date on the updated Terms to reflect the change. By continuing to use our Services, you
are acknowledging that you have read and agree to the updated Terms, which will replace any previous
versions.
It's important to note that you must comply with all relevant export control and trade sanctions laws. Our
Terms of Service constitute the entire agreement between you and Soulmet concerning the use of our Services. If
you don't agree with our Terms, we ask that you discontinue using our Services immediately.
10 Other Terms
- This Agreement represents the complete understanding between both parties regarding all agreed items and
relevant matters. Other than what is specifically mentioned in this Agreement, neither party holds any
additional rights or claims against the other.
- If any section of this Agreement is determined to be invalid or unenforceable by a competent authority,
the remaining sections will continue to be valid and binding on both parties. This means that even if one part
is struck down, the rest of the Agreement still stands.
- The headings used throughout this Agreement are solely for convenience and organization. They should not
be used to interpret or influence the meaning of the Agreement's content.
11 Privacy and Contact
You confirm that you have read and comprehend our Privacy Policy in full, outlining how we manage the data
you give us or that is produced when you use our Services.
